- How to Contact Us
1. Agreement to These Terms
These terms form a legal agreement between you and Hrs Carrier Ltd. concerning your use of this website and, where applicable, the services we provide. If you use the site on behalf of an organisation, you confirm that you have authority to bind that organisation and that the organisation agrees to these terms.
Where you and Hrs Carrier Ltd. have signed a separate services agreement, that agreement governs the delivery of the services and takes precedence over these terms to the extent of any conflict. These terms continue to apply to the website and to any enquiry that is not yet covered by a signed agreement.
If you do not agree with these terms, please do not use the site and do not request services from us. You may still contact us to discuss alternative arrangements if you believe a term is unsuitable for your situation.
2. About the Company
Hrs Carrier Ltd. is a company providing computer systems design and related professional services, with a focus on integrated yard and dispatch systems for freight operations. The company is located at 40 Alabaster Dr, Brampton - L6V 4G7, Canada (CA) and may be reached by email at update@hrscarrier.lol or by telephone at +19895754479.
The developer name HRS Carrier identifies the design team that prepares and maintains our systems. Any reference to the team, the developers or the design practice in these terms refers to Hrs Carrier Ltd. and its authorised personnel.
Information published on this website is provided for general description. It is not a binding offer and may be revised as our services evolve.
3. Services We Provide
Our services include the design, configuration and support of yard record systems. The main runs are manifest sheet bays, ramp log runs, driver note desks, dispatch check windows, load review rounds and yard booking sittings. Each engagement is scoped in writing so that the client knows which runs are included, what is expected of the client team and when the work is expected to be delivered.
We may also provide advisory work, board layout design, forms design, training and routine documentation. Any service not described in a written scope is not included unless both parties agree to it in writing.
We may change or withdraw services over time. Where a change affects an active engagement, we will discuss it with the client before the change takes effect. Publishing a description of a service on the website does not oblige us to provide that service on any particular terms.
4. Acceptable Use of the Website
You may use this website for lawful purposes connected with learning about our services and contacting us. You must not:
- Attempt to gain unauthorised access to any part of the site, its servers or its underlying systems.
- Introduce malicious code, automated scraping that places unreasonable load on the server, or any other disruptive activity.
- Copy, reproduce or republish substantial parts of the site without our written permission.
- Use the site to send unsolicited commercial messages, harassment or content that infringes the rights of another person.
- Misrepresent your identity or your authority to act for an organisation.
We may suspend or block access where we reasonably believe that the site is being used in breach of these rules. We will normally explain the reason, unless doing so would compromise security or the rights of another person.
5. Accounts and Access Roles
Some of our systems are provided through accounts that the client controls. The client is responsible for nominating its users, assigning roles and informing us promptly when a user should no longer have access. We provide a small set of roles so that access can be limited to what each person needs.
Users must keep their credentials confidential and must not share them. If you become aware of unauthorised use of an account, you must notify us without delay so that we can help contain the issue. We may reset credentials or suspend access where we believe there is a security risk.
Where a client asks us to create an account for a partner yard, the partner is bound by the same access rules and by any additional conditions recorded in the services agreement. The client remains responsible for the conduct of the users it sponsors.
6. Enquiries and Bookings
An enquiry sent through the contact form or by email is an invitation to discuss, not a confirmed order. A booking sitting becomes confirmed only when we have acknowledged it in writing and, where applicable, when any required deposit has been received.
Booking sittings are subject to the capacity of the yard at the time. We publish the release window in advance and may decline a request that would exceed the space or the turnaround time available. Where a sitting cannot be honoured we will offer an alternative date where one exists.
If a carrier needs to change or cancel a sitting, it should tell us as early as possible. Repeated late cancellations may affect future bookings, and we reserve the right to apply a reasonable administration charge where a cancellation is made very close to the sitting time.
7. Fees and Payment
Fees for services are set out in the written proposal or in the services agreement. Unless stated otherwise, fees are quoted in Canadian dollars and are exclusive of applicable taxes. Taxes are added where the law requires them.
Payment terms are stated in the agreement. Where no term is stated, invoices are payable within thirty days of the invoice date. We may suspend work where an undisputed invoice remains unpaid after the due date and we have given written notice.
Expenses that the client has authorised in advance, such as travel to a site outside the Brampton area, are recharged at cost with supporting documentation. We do not charge for ordinary correspondence or for small clarifications that fall within the agreed scope.
If the scope changes materially, we will provide a revised estimate before continuing. The client may approve the revision, pause the work or end the engagement at that point, subject to payment for work already performed.
8. Client Obligations
To deliver a yard system well we depend on the client team. The client agrees to:
- Provide accurate information about the yard, the apron and the existing records.
- Make the relevant people available for the walk, the interviews and the board review.
- Nominate a single point of contact with authority to approve the scope and the handover.
- Share only information it is entitled to share with us.
- Ensure that the site is safe for our team to visit and that any required access passes are arranged in advance.
- Test the board during the tuning period and report issues promptly.
Where a delay is caused by a failure to meet these obligations, timelines may be adjusted and any additional work required may be charged at the agreed rate. We will always tell the client before additional work is carried out.
9. Delivery and Timelines
Delivery dates in a proposal are estimates based on the information available at the time. We work to keep them accurate and will tell the client as soon as a material change becomes likely. A timeline is not a guarantee unless the agreement says so in clear words.
Most engagements follow a short sequence: walk and map, board layout, capture and check, rounds and sittings, then handover. We may combine or reorder stages where the client situation warrants it, provided the agreed outcomes are still delivered.
The client is responsible for its own readiness activities, including informing its staff about the change and preparing any internal records needed for the design. We can advise on these activities but cannot perform them on the client behalf without a separate agreement.
10. Intellectual Property
The content of this website, including text, layout, graphics and any code, is owned by Hrs Carrier Ltd. or used under licence and is protected by copyright and other laws. You may view the site and print pages for internal reference, but you may not reproduce or distribute the content commercially without written permission.
Our design patterns, templates, run structures and supporting software remain our property. Where an engagement results in deliverables for the client, the ownership of those deliverables is set out in the services agreement. Unless stated otherwise, the client receives a licence to use the deliverables for its own operations, and we retain the right to reuse generic patterns and know how.
The client retains ownership of the records and information it provides. The client grants us a licence to use that information only for the purposes of the engagement and for the support services described in the agreement.
11. Confidentiality
Each party may receive information that the other regards as confidential, including operational details, pricing, client lists and unpublished design material. The receiving party will keep that information confidential, use it only for the engagement and protect it with reasonable care.
Confidentiality obligations do not apply to information that is already public, was lawfully known before the engagement, is independently developed without reference to the confidential material, or must be disclosed by law. Where disclosure is required by law, the party subject to the requirement will give the other party prompt notice where lawful and will cooperate to limit the disclosure.
These obligations continue after the engagement ends. Staff and contractors who work on an engagement are bound by written confidentiality terms that reflect these requirements.
12. Data and Yard Records
Yard records belong to the client. We process them only on the client instruction and in line with the services agreement. We apply the principle of minimum necessary data and we ask clients to avoid sharing information that is not needed for the design.
Our handling of personal information is described in the Privacy Policy published on this site, which forms part of these terms by reference. Where the terms conflict with the Privacy Policy on a matter of personal information handling, the Privacy Policy prevails.
On termination we will return client records in an agreed format and delete the working copies we hold, subject to any legal or backup retention requirement. We will confirm the destruction in writing when the client asks for confirmation.
13. Third Party Services
Some parts of an engagement may depend on third party software, hosting or equipment chosen with the client. We do not control those third parties and cannot guarantee their availability, security or future pricing. We will tell the client where a dependency exists and help manage it where the scope allows.
The site may link to other websites. Links are provided for convenience and do not imply endorsement. If you visit a linked site, its own terms and privacy practices apply, and you should review them.
Where a client asks us to connect our board to a third party system, the client is responsible for ensuring that it has the right to share the relevant data with that system and with us.
14. Availability and Support
We aim to keep our website available at all times, but we do not guarantee uninterrupted access. Maintenance, updates and events outside our control may cause interruptions. We will give notice of planned maintenance where it is likely to affect a client system.
Support for installed systems is provided according to the support terms in the services agreement. Support requests should be sent to update@hrscarrier.lol, and urgent gate issues should be raised by telephone at +19895754479. We respond during our business hours and aim to acknowledge urgent matters quickly.
Where a support arrangement includes response targets, those targets refer to the time to respond rather than the time to resolve. Resolution effort depends on the nature of the matter and on the cooperation of the client team.
15. Warranties
We warrant that our services will be performed with reasonable skill and care and in accordance with the written scope. If a deliverable does not meet that standard, the client should tell us promptly and we will correct the issue at no additional charge, provided the matter falls within the agreed scope.
Except as expressly stated, the website and its content are provided as they are, and we disclaim any implied warranties to the extent the law allows. We do not warrant that the site will be free of errors or that it will meet every requirement of a particular visitor.
Nothing in these terms limits or excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.
16. Limitation of Liability
To the extent permitted by law, our total liability arising from or in connection with an engagement is limited to the fees paid by the client for the services giving rise to the claim during the twelve months before the event. This limit applies whether the claim is based on contract, tort or any other legal basis.
We are not liable for indirect or consequential losses, including loss of profit, loss of business opportunity, loss of goodwill or loss of anticipated savings, even if we were advised of the possibility of such loss. We are also not liable for losses caused by a client system, a third party service or a failure by the client to follow the written routine.
For website use that is not connected to a paid engagement, our liability is limited to one hundred Canadian dollars. This does not affect any right that cannot be limited under applicable law.
The parties agree that these limits are a reasonable allocation of risk given the nature of the services and the fees charged.
17. Indemnity
The client agrees to indemnify Hrs Carrier Ltd. against claims, losses and reasonable costs arising from information the client has provided that it was not entitled to share, from a breach of the client obligations in these terms, or from the way the client has used a deliverable outside the agreed scope.
We agree to indemnify the client against claims that a deliverable we created infringes the intellectual property rights of a third party, provided the client tells us promptly, allows us to control the defence and does not settle the claim without our consent. Where an infringement is established, we may modify the deliverable, obtain a licence or terminate the affected part of the engagement with a refund of related fees.
Each party will cooperate reasonably with the other in the defence of any claim covered by this section.
18. Termination
Either party may terminate a services agreement in accordance with its written notice provisions. Where the agreement does not specify a notice period, either party may end the engagement on thirty days written notice, subject to payment for work completed and for commitments already made.
We may suspend or terminate access to our systems immediately where the client is in material breach and has not remedied the breach within fourteen days of written notice, where payment remains overdue after notice, or where continued service would expose us or another client to a security or legal risk.
On termination, the client remains responsible for fees accrued up to the date of termination and for any non cancellable commitments we made on its behalf. Sections dealing with intellectual property, confidentiality, data, liability, indemnity and governing law survive termination.
19. Governing Law
These terms and any dispute arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in that province. The parties submit to the exclusive jurisdiction of the courts of Ontario sitting in Brampton, subject to any right to seek equitable relief in another forum.
Before starting formal proceedings, the parties agree to attempt to resolve a dispute through good faith discussion for at least thirty days. A senior representative of each party will take part in that discussion. This step does not prevent either party from seeking urgent relief where necessary.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.
20. Changes to These Terms
We may update these terms to reflect changes in our services, our systems or the law. The current version is always published on this page, and the date at the top of the page shows when it was last revised. Continued use of the site after an update means you accept the revised terms.
Where a change affects an active services agreement, we will notify the client and, where the change is material, seek agreement before it applies to the engagement. Changes do not retroactively affect work already completed.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision will be replaced by a valid provision that most closely reflects the original intent.
21. How to Contact Us
Questions about these terms should be sent to the yard office. We are happy to explain any provision before you commit to an engagement.
